1.0Acceptance of Terms

By accessing or browsing this website (seyvstudio.com), requesting a project estimate, executing a Statement of Work (SOW), or remitting payment for any project package or monthly retainer, you confirm that you have read, understood, and agreed to be legally bound by these Terms of Service.

If you are entering into this agreement on behalf of a company, business, or organization, you represent and warrant that you possess the legal authority to bind that entity to these Terms.

2.0Scope of Creative & Digital Services

SEYV Studio delivers done-for-you creative technology and marketing solutions. Our core offerings include:

3.0Client Responsibilities & Collaboration

Timely project execution is a collaborative effort. To meet our stated timelines (such as our 14-day delivery benchmark for core packages), the client agrees to:

• Asset Provision: Provide required logos, brand guidelines, product samples, editorial copy, and high-resolution assets in a timely manner.
• Shoot Access: Ensure unobstructed physical access, permits, and permissions for scheduled photography or videography shoot sessions at the client's premises.
• Credentials & Authorizations: Furnish necessary administrative access to domain registrars, hosting platforms, and business social channels under secure protocols.
• Prompt Milestone Feedback: Review and provide constructive feedback on intermediate drafts, prototypes, or staging sites within three (3) business days of submission. Client delays exceeding five (5) business days will proportionally shift downstream delivery schedules.

4.0Payment Terms & Invoicing Structure

All pricing is quoted in Indian Rupees (INR) for domestic clients, or in USD / SAR for international clients, exclusive of applicable statutory taxes (such as GST) unless stated otherwise.

5.0Revision Policy & Scope Boundaries

We believe in transparent, collaborative design. Revisions are incorporated into each package tier as defined in our project documentation:

• Essential Launch: Includes up to two (2) structured rounds of consolidated design and copy adjustments during the active build phase.
• Complete Launch: Includes up to three (3) structured revision rounds across design prototypes and media edits.
• Premium Launch: Includes unlimited iterations on styling, composition, and presentation within the agreed core functional scope prior to final launch.
• Monthly Retainers: Include continuous minor copy edits, layout adjustments, image swaps, and quarterly new media refresh cycles as designated in the retainer tier.

Scope Definition: Revisions encompass adjustments to layouts, typography, imagery cropping, color accents, and copywriting refinements within the agreed scope. Structural additions, new software integrations, multi-tier database features, or shifts in agreed core business models constitute out-of-scope work and will be quoted separately under an addendum change order.

6.0Intellectual Property & Deliverable Ownership

We believe clients should genuinely own what they pay for:

• Client Ownership: Upon receipt of 100% full payment for a one-time project, full ownership of bespoke graphic designs, custom front-end code, final edited high-resolution photography, and finished video cuts transfers completely to the client.
• Studio Portfolio Rights: SEYV Studio retains the perpetual, worldwide, non-exclusive right to display the completed work, project screenshots, video excerpts, and case study outcomes in our agency portfolio, website, marketing presentations, and social media showcase.
• Client-Supplied Assets: The client warrants that all text, logos, trademarks, and third-party media supplied to SEYV Studio are owned by the client or used with explicit permission. The client indemnifies SEYV Studio against any third-party copyright or trademark infringement claims resulting from client-provided materials.
• Open-Source Frameworks: Pre-existing open-source libraries, CSS frameworks, or third-party plugins integrated into the web solution remain subject to their respective open-source licenses (such as MIT, Apache, or GNU).

7.0Limitation of Liability

To the maximum extent permitted under applicable law, SEYV Studio, its directors, employees, and subcontractors shall not be liable for:

• Indirect, special, punitive, incidental, or consequential damages, including loss of business revenue, anticipated profits, commercial goodwill, or operating data.
• Third-party platform outages, domain registrar failures, server downtime caused by external hosting providers, cyberattacks, or search engine algorithmic ranking changes.

In all circumstances, SEYV Studio's total cumulative liability arising out of or related to any project engagement shall be strictly capped at the total amount actually paid by the client to SEYV Studio for that specific statement of work or retainer billing in the preceding three (3) months.

8.0Termination Conditions

Either party may terminate an active agreement under the following terms:

• Termination for Material Breach: If either party materially breaches these Terms and fails to cure such breach within ten (10) business days of written notice, the non-breaching party may terminate the engagement immediately.
• One-Time Projects: In the event of early termination of a one-time project, SEYV Studio is entitled to invoice for and retain compensation for all work, milestone stages, and shoot days executed up to the date of termination.
• Monthly Retainers: Either party may cancel an ongoing monthly retainer by providing at least fourteen (14) days written notice prior to the upcoming monthly renewal date.

9.0Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.

The parties mutually agree that the competent civil courts located in Hyderabad, Telangana, India shall possess exclusive jurisdiction to settle any disputes, claims, or controversies arising from or relating to our services and agreements.
